1. Agreement to Terms

By accessing or using the cloud accounting automation platform and services (the "Service") provided by DE VALLE LTD ("we", "us", "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use our Service.

2. Description of Service

DE VALLE LTD provides cloud-based accounting automation software that enables businesses to:

• Automate invoicing and billing processes
• Track expenses and manage financial records
• Generate financial reports and analytics
• Manage payroll and tax calculations
• Ensure compliance with UK tax regulations and HMRC requirements

3. Account Registration

To use our Service, you must:

• Be at least 18 years of age
• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account.

4. Subscription and Payment

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Subscription fees are billed in advance on a monthly or annual basis, as selected during registration.

4.2 Payment Terms

All fees are payable in British Pounds (GBP) and are exclusive of VAT unless otherwise stated. You agree to pay all fees associated with your subscription. Payment is processed through secure third-party payment processors.

4.3 Renewal and Cancellation

Subscriptions automatically renew unless cancelled at least 7 days before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any UK laws or regulations
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Transmit viruses, malware, or any harmful code
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to store or process data in violation of data protection laws

6. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by DE VALLE LTD and protected by UK and international copyright and trademark laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes only.

You retain ownership of all data and content you upload to the Service. By using the Service, you grant us a license to use, store, and process your data solely for the purpose of providing the Service.

7. Data and Privacy

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless DE VALLE LTD, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or regulation
• Your infringement of any third-party rights

11. Termination

We may suspend or terminate your account and access to the Service immediately, without notice, if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Pose a security risk to the Service or other users

Upon termination, your right to use the Service will cease immediately. We may delete your account and data after a reasonable retention period, subject to legal requirements.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
